Introduction & Acceptance of Terms
- Welcome to CoderU. These Terms and Conditions (“Terms”) govern the use of CoderU Education Technology LLP’s (“CoderU”, “We”, “Us”) website, online dashboards, and all related products and services (collectively, the “Services”).
- These Terms apply to the educational institution (“the School”) that enters into a Service Agreement with us, as well as the individual students, teachers, and administrators who use the Services (“End-Users”).
- By entering into a formal Service Agreement with CoderU, you agree to be bound by these Terms. Furthermore, in the absence of a signed Service Agreement, allowing CoderU to commence its instructional programs on your premises and/or receiving an invoice for said services shall constitute your full acceptance of these Terms. You acknowledge that you have read, understood, and agreed to all conditions herein. These Terms incorporate by reference our Privacy Policy.
Definitions
- “Agreement” refers to the specific Service Agreement & Order Form executed between CoderU and the School.
- “Content” means all curriculum, textbooks (digital or print), videos, software, robotics kits, instructional materials, and any supplementary notes or documents uploaded to the dashboards provided by CoderU.
- “End-User” means the individual students, teachers, or administrators who access CoderU’s online dashboards.
- “Intellectual Property Rights” refers to all rights in patents, copyrights, designs, trademarks, and trade secrets.
- “Privacy Policy” means the CoderU Privacy Policy, available at Privacy Policy.
- “School” refers to the educational institution that enters into an Agreement with CoderU.
Scope of Services
- Instructional Delivery Model: CoderU provides a comprehensive learning solution. The specific delivery model will be defined in the Service Agreement and will be one of the following:
- School-Led Model: The School’s own teachers will use CoderU’s platform and pre-loaded Content to deliver the instructional classes.
- CoderU-Led Model: A qualified instructor provided by CoderU will deliver the instructional classes to the students.
- The number of lessons, program duration, subject focus, and instructional structure may vary based on the selected program plan and shall be as specified in the Service Agreement or Purchase Order.
- Curriculum: The curriculum is designed and determined exclusively by CoderU and shall not be modified by the School.
- Dashboard Access: If applicable to the program plan selected in the Service Agreement, CoderU will provide End-Users with access to its online Student and Teacher Dashboards to supplement classes and track progress.
- Certification: Certificates will be issued to students who successfully complete the program, provided it is a feature of the selected plan. CoderU will provide the blank certificate templates; it is the School’s responsibility to accurately write or print student names on each certificate.
- Special Events: Events outside the standard program, like competitions, will be governed by a separate arrangement.
- Masterclasses: If included in the School’s plan, CoderU reserves the right to schedule these sessions at its discretion.
- Service Availability: CoderU will use commercially reasonable efforts to make the online dashboards available 24 hours a day, 7 days a week, except for planned maintenance and unforeseen emergency outages. CoderU does not guarantee uninterrupted access and will not be liable for any downtime or data loss caused by factors beyond our reasonable control.
CoderU’s Responsibilities
Teaching and Platform Delivery:
- For all plans, CoderU is responsible for providing and maintaining the online dashboards with the complete, pre-loaded curriculum.
- If the CoderU-Led Model is selected, CoderU is additionally responsible for providing an instructor and delivering the agreed-upon instructional classes.
Teacher Support and Training (“Handholding”):
- CoderU will provide ongoing support to the School’s teachers. This support includes training sessions that review the curriculum content already available in the LMS and dedicated Q&A sessions to ensure teachers are confident and prepared to deliver the classes.
Monitoring and Evaluation:
- CoderU will monitor the program’s progress and conduct evaluations.
Rescheduling of Support Sessions:
- If a scheduled teacher training or Q&A session is canceled by CoderU, it will be rescheduled.
Refunds for Service Failure:
- CoderU’s refund obligation depends on the delivery model specified in the Service Agreement:
- For the CoderU-Led Model: If CoderU fails to deliver the agreed-upon number of instructional classes, and rescheduling is not possible, we will refund the School on a pro-rata basis for any classes that were not delivered.
- For the Teacher-Led Model: The service is defined as continuous platform access and teacher support for the duration of the academic year. If a material breach causes the service to become permanently unusable, the refund will be calculated on a pro-rata basis for the time remaining in the academic year, with the total fee being attributed in equal portions to each month of the term.
Instructor Replacement (for CoderU-Led Model):
- In the event the assigned CoderU instructor resigns or is otherwise unavailable for an extended period, CoderU shall have up to 21 working days to appoint a qualified replacement. Any instructional classes missed during this transition period will be duly compensated by rescheduling them at a later date.
Training Continuity & Non-Repetition Policy :
- Once the scheduled teacher training program has commenced, any School that partners with CoderU at a later stage shall join the training program from the ongoing
session. CoderU shall not be obligated to restart, repeat, or separately conduct previously completed training sessions for such late-joining Schools or teachers. - Similarly, in the event a teacher nominated by the School resigns, is transferred, or is replaced during the program, the newly appointed teacher shall be required to join the training program from the next scheduled session. No repetition or separate training sessions shall be conducted for replacement teachers.
- The School acknowledges that continuity of training is maintained through structured schedules, LMS materials, documentation, and session guidance already provided, and agrees that responsibility for internal teacher transition management rests solely with the School.
Curriculum Adjustment & Program Completion Policy :
- CoderU programs are technical and skill-based in nature and are designed to be delivered within the planned academic schedule. The successful completion of all lessons depends on factors including teacher preparedness, classroom pace, student engagement, and institutional coordination.
- In circumstances where delivery challenges, learning gaps, or operational constraints
result in significant delay or inability to complete the full planned curriculum within the academic timeline, CoderU reserves the right to restructure, merge, modify, or curtail certain lessons or activities to ensure overall program completion in a meaningful and pedagogically appropriate manner. - Such adjustments shall not be considered as service deficiency, but as necessary academic and operational decisions taken in the best interest of program continuity and learning outcomes.
- The School acknowledges that curriculum pacing and lesson coverage may vary based on classroom realities, and agrees that CoderU’s academic judgment in such matters shall be final.
Digital Content Support for Curriculum Continuity :
- In the event any lesson, topic, or learning material is not available or is omitted in the printed textbook provided to the School, CoderU shall make the corresponding content available in digital PDF format through the student dashboard or official communication channels.
- Such digital materials shall be considered an integral part of the curriculum and shall be used by students for reference, learning, and academic continuity.
- The availability of learning content in digital format shall be deemed as valid curriculum delivery and shall not be considered as a deficiency in service, material supply, or program execution.
The School’s Responsibilities
Class Delivery & Support:
- If the School-Led Model is selected, the School is responsible for assigning its own qualified teachers to deliver the instructional classes using the CoderU platform.
- If the CoderU-Led Model is selected, the School is responsible for providing a classroom environment conducive to learning and ensuring student attendance and discipline during the sessions conducted by the CoderU instructor.
Facilities and Coordination:
- The School must provide necessary facilities and appoint a coordinator for communication.
Attendance and Scheduling:
- The School is responsible for student attendance. If a class is missed due to a public holiday, the School must arrange a compensatory class.
Parental Consent:
- The School is solely responsible for obtaining all necessary parental consents for students to participate in CoderU programs.
Teacher Replacement:
- The School must appoint and bear the retraining costs for any replacement teacher.
Lab and Equipment Safety:
- The School is responsible for any damage to its lab facilities or equipment.
User Accounts and Data Formatting:
- The School is responsible for providing accurate information for End-User accounts, such as student and teacher names. This data must be provided to CoderU in the specific format requested by us.
- The School is solely responsible for accurately filling out and providing this data; CoderU will not be responsible for data entry or for formatting the information on the School’s behalf.
Teacher Replacement and Training Obligation:
- In the event of resignation, reassignment, or replacement of any teacherData Privacy and Student Data The School is the primary controller of all student data. The School represents and warrants that it has obtained all necessary consents from parents or legal guardians for students to use the Services and for CoderU to process data as necessary to provide the Services. CoderU acts as a data processor on behalf of the School and will only use student data to provide and improve the Services. We will implement and maintain reasonable security safeguards to protect the confidentiality of student data. or staff member nominated by the School after the completion of the initial training provided by CoderU, CoderU shall bear no obligation to conduct additional or repeated training for such replacement personnel.
- The School acknowledges and agrees that any new or substitute teacher shall be required to undertake self-learning through the Learning Management System (LMS), instructional materials, and resources already made available.
- Any request for supplementary or live training sessions for replacement personnel shall be subject to CoderU’s discretion and may incur additional fees.
Payment Delays and Default:
- All program fees and payments are due as per the schedule communicated in the Service Agreement or invoice. Timely payment is a condition precedent to the continuation of all CoderU services.
In the event of delayed or incomplete payment by the School:
- CoderU reserves the right to pause, suspend, or terminate access to classes, materials, dashboards, or related services until dues are cleared in full.
- Late payment charges may be applied at the discretion of CoderU as permitted by applicable law.
- Any costs incurred in recovering outstanding dues, including legal or collection fees, shall be borne by the School.
- CoderU shall not be held responsible for delays in classes, delivery of materials, or certification resulting from such payment default.
Internet / Infrastructure Dependency:
- The School acknowledges that uninterrupted program delivery depends on the availability of proper infrastructure including electricity, internet connectivity, projectors, computers, and classroom facilities. CoderU shall not be responsible for any disruption, delay, or impact on program delivery caused by infrastructure limitations or technical failures at the School’s premises.
Device Responsibility:
- All devices, systems, and infrastructure used by students and teachers during the program remain the sole responsibility of the School. CoderU shall not be liable for any damage, malfunction, loss, or misuse of such devices during program execution.
Teacher Engagement Responsibility:
- The effectiveness of the program depends on active teacher involvement, cooperation, and engagement. CoderU shall not be held responsible for learning impact or program delays arising due to lack of teacher participation, preparedness, or coordination.
Student Behaviour / Discipline:
- The School shall be solely responsible for student discipline, conduct, and supervision during program sessions. CoderU shall not be liable for any damage, loss, injury, or disruption caused by student behavior, misuse of equipment, or non-compliance with classroom rules.
Commercial Terms, Fees, and Payment
Service Agreement:
- All commercial terms will be detailed in a separate Service Agreement.
Payment Structure:
- The specific payment structure, including any advance payment requirements and installment schedules, will be detailed in the Service Agreement / Purchase Order. The School agrees to adhere to the payment terms as specified in that document.
Cancellation Fee:
- Cancellation by the School will incur a fee based on the total agreed amount:
- 30% if canceled before classes begin.
- 70% if canceled after classes have commenced.
Payment Non-compliance:
- CoderU may suspend services for non-payment.
Billing Based on Initial Headcount:
- Fees are based on the student headcount in the signed Agreement. No refunds will be issued if student numbers decrease.
- In the event of any increase in student headcount during the academic year, the School shall be liable to pay additional fees for such additional students as per the prevailing per-student rate communicated by CoderU.
Multi-Year Contract Commitment & Advance Payment Policy:
- For multi-year agreements, including three-year contract arrangements, the School shall make payments for each academic year as per the agreed payment schedule.
Commitment Advance for Subsequent Years:
- In addition to the first academic year payment, the School may be required to remit a commitment advance for the second and/or third academic year, as communicated in the Service Agreement or Purchase Order.
Non-refundable Commitment Advance:
- Such commitment advance shall be treated as a booking and resource allocation confirmation amount and shall be non-refundable in the event the School chooses to discontinue or cancel participation in the second or third academic year.
Purpose of Commitment Amount:
- This commitment amount is collected to secure curriculum planning, capacity reservation, content preparation, and long-term resource allocation by CoderU, and is independent of actual service usage in subsequent years.
Equipment and Materials
Provision of Materials:
- The specific equipment and materials provided by CoderU will be dependent on the program plan selected by the School and will be detailed in the Service Agreement. The terms below apply based on how those materials are categorized in the Agreement.
Loaned Equipment:
- Any equipment specified as “loaned” in the Service Agreement (such as robotics kits) remains the exclusive property of CoderU.
- The School is responsible for its safekeeping and must return it in good condition upon termination of the Agreement, unless otherwise specified in a separate written agreement between CoderU and the School.
- The School is financially liable for any lost or damaged loaned equipment.
Purchased Materials:
- Any materials specified as “purchased” in the Service Agreement (such as textbooks) become the property of the student upon delivery.
New Admissions:
- For new student admissions during the academic year, the School must notify CoderU to procure any required materials. Upon CoderU’s receipt of the corresponding extra payment from the School, we will dispatch the necessary deliverables.
Spare Parts Support Policy:
- CoderU may provide limited quantities of selected spare parts along with the robotics kits as a goodwill support measure. The type and quantity of such spare parts shall be documented in a separate Spare Parts Support List provided at the time of delivery and acknowledged by the School.
Spare Parts Limitations:
- Such spare parts are provided only as limited support and shall not be construed as unlimited or lifetime free replacement.
- Once the supplied spare parts are exhausted, any further replacement of parts shall be chargeable unless covered under a separate written agreement or Annual Maintenance Contract (AMC).
Misuse and Damage Liability:
- CoderU shall not be responsible for any damage arising due to misuse, mishandling, loss, improper installation, or student handling of the kits or spare parts.
Spare Parts Support List:
- The Spare Parts Support List shall form part of the delivery documentation and shall be read in conjunction with these Terms and Conditions.
Fault Reporting and Replacement Policy:
- The School shall inspect all robotics kits, components, and spare parts immediately upon delivery. Any manufacturing defect, missing item, or faulty component must be reported to CoderU Education Technology LLP in writing within 30 (thirty) days from the date of delivery.
- Complaints received after the 30-day period shall be deemed as acceptance of the items in good condition, and any replacement thereafter shall be chargeable.
- Free replacement shall be applicable only for confirmed manufacturing defects reported within the said 30-day period. Damage due to handling, storage, wear and tear, misuse, or student activity shall not be covered under free replacement.
- All fault reports must be submitted through the official communication channels of CoderU Education Technology LLP.
Incentives & Recognition Materials
- Certificates are issued as a part of program participation and encouragement. The School acknowledges that certificates represent participation and level completion in the program and do not guarantee specific academic or technical proficiency outcomes
Intellectual Property & User Conduct
- CoderU Ownership: CoderU retains sole ownership of all Content, Services, and related Intellectual Property Rights.
- Restrictions: The School and End-Users shall not copy, reproduce, distribute, or modify any Content without CoderU’s permission.
- User Conduct: You agree not to use the Services in a manner that is illegal, fraudulent, or infringes on any rights.
- User-Generated Content and Feedback: Any original content created by an End-User (such as code or projects) remains the intellectual property of that End-User. If you provide CoderU with any feedback or suggestions, CoderU is free to use and incorporate such feedback into our Services without any obligation or compensation to you.
Data Privacy and Student Data
- The School is the primary controller of all student data. Teacher Safety and Conduct
- The School agrees to provide a safe, professional, and respectful environment for CoderU’s teachers, free from harassment or discrimination.
Warranty, Liability, and Indemnity
- Warranty Disclaimer: THE SERVICES AND CONTENT ARE PROVIDED ON AN “AS IS” BASIS, WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED.
- Disclaimer on Educational Outcomes: CoderU provides educational tools and Content designed to support learning but makes no warranties about the specific educational outcomes of any student. Actual learning outcomes are dependent on various factors, including student effort and teacher engagement.`
- Limitation of Liability: IN NO EVENT SHALL CODERU BE LIABLE FOR ANY INDIRECT, INCIDENTAL, OR CONSEQUENTIAL DAMAGES, OR ANY AMOUNT EXCEEDING THE FEES PAID BY THE SCHOOL DURING THE ACADEMIC YEAR IN WHICH THE APPLICABLE CLAIM ARISES.
- Indemnity: The School agrees to indemnify and hold CoderU harmless from any claim arising out of the School’s or its End-Users’ use of the Services or violation of these Terms.
Term and Termination
- Term: This agreement is effective for the duration specified in the Service Agreement.
- Termination for Cause: Either party may terminate with 30 days’ written notice for a material breach that is not remedied.
- Effect of Termination: Upon termination, the School must pay for all services rendered to date. Provisions on IP, Confidentiality, and Indemnity shall survive.
General Provisions
- Promotional Activities: The School grants CoderU the right to use the School’s name and logo for marketing and promotional purposes. Furthermore, the School agrees to allow CoderU to capture photographs and video recordings of the program sessions conducted on its premises, provided that such activities do not disrupt classroom instruction. CoderU will own the rights to this media and may use it in promotional materials, on its website, and on social media.
- Non-Solicitation: For the agreement’s duration and three years after, neither party shall solicit the employees of the other.
- Confidentiality: Both parties agree to maintain the confidentiality of all proprietary information.
- Governing Law and Dispute Resolution: This agreement is governed by the laws of Karnataka, India. Any dispute shall be resolved through arbitration in Bengaluru.
- Force Majeure: Neither party shall be liable for failure to perform due to causes beyond its reasonable control.
- Entire Agreement: These Terms and the Service Agreement constitute the entire agreement.
- Notices: All notices to CoderU should be sent to admin@coderuclass.com.
- The School acknowledges that only the written terms mentioned in the Service Agreement, Purchase Order, and these Terms and Conditions shall be considered binding. Any verbal discussions, assumptions, or informal communications shall not constitute contractual commitments.
- Government / Board Policy Changes : CoderU shall not be held responsible for any changes, interruptions, or modifications in program delivery arising due to changes in government regulations, education board policies, or institutional directives.
- Pandemic / Emergency Closure : Any disruption caused due to pandemics, natural disasters, government orders, public health emergencies, or institutional closures shall not be considered as service failure. Program continuity and delivery shall be adjusted based on feasibility and prevailing conditions.
- The School acknowledges that program structure, lesson count, delivery format, and support levels may vary based on the selected plan, student group, academic schedule, and operational feasibility. Comparisons with other schools or institutions shall not constitute grounds for dispute or service claims.
Third-Party Links and Services
- CoderU is not responsible for the content, privacy policies, or practices of any third-party websites or services that may be linked to from our Services. You access such third-party sites at your own risk and release CoderU from any and all liability arising from your use of them.
Amendment of Terms
- CoderU reserves the right to amend, modify, or update these Terms and Conditions, in whole or in part, at any time, without prior notice. Any such revisions shall become effective upon publication on the official CoderU platform or communication channels. The continued use of the Services or participation in the Program by the School shall constitute deemed acceptance of such revised Terms.
- The version of Terms and Conditions applicable shall be the version effective on the date of execution of the Service Agreement or Purchase Order.
